Anthropic has filed for an initial public offering on the Nasdaq Global Select Market under the symbol "ANT," the company announced on Monday. The filing includes a registration statement with the SEC, though the number of shares and price range have not yet been determined.
Goldman Sachs and Morgan Stanley are named as lead underwriters among 24 total underwriters. Both Anthropic and existing shareholders plan to sell shares in the offering.
Financial Performance
For the first half of 2026, Anthropic reported revenue of $16.29 billion, compared with $1.16 billion in the same period a year earlier. Full-year revenue was $4.59 billion in 2025, $386 million in 2024, and $41 million in 2023.
The company recorded a net loss of $80.7 billion for the first half of 2026. The filing attributes most of this to a $72.4 billion charge for changes in the fair value of convertible notes and other instruments, primarily driven by increases in the company's valuation. Operating loss for the period was $693 million.
As of June 30, 2026, Anthropic had raised $141.1 billion in total funding and held $112.4 billion in cash and cash equivalents, plus $19.3 billion in short-term investments. As of September 30, the company had more than 1,900 customers generating at least $1 million in annual revenue and approximately 250 generating at least $10 million.
Governance Structure
Anthropic is incorporated as a public benefit corporation with a distinctive governance framework. The Long-Term Benefit Trust, composed of five financially disinterested trustees, will elect a majority of the company's board through a special class of stock.
Immediately before the offering, Anthropic will issue a single Class F share to an entity owned by its seven co-founders, granting 50.1% of voting power on most shareholder matters. The SEC filing notes this structure makes Anthropic a "controlled company" under Nasdaq rules and states that Class A shareholders' ability to influence important decisions, including changes in control, "may effectively be eliminated."
Class A shares will carry one vote per share. Anthropic has contributed approximately 847 million non-voting shares, representing 5% of fully diluted shares as of June 30, to a wholly owned subsidiary dedicated to its public benefit purpose. The company's seven co-founders have each pledged to give 80% of their personal equity to philanthropic causes.
