Anthropic has filed an S-1 registration statement with the U.S. Securities and Exchange Commission for its proposed initial public offering on the Nasdaq stock exchange under the ticker symbol ANT. According to reports citing the Wall Street Journal, the public listing is planned for the week of November 16.
The company has not yet disclosed the number of common shares it intends to sell or the offering price. However, Anthropic plans to raise up to $100 billion at a valuation of up to $2 trillion. If achieved at the proposed valuation, the IPO could rank as the largest in U.S. history.
Goldman Sachs and Morgan Stanley are serving as lead underwriters for the offering. JPMorgan, Citigroup, Barclays, and Wells Fargo are also among the underwriting syndicate.
Financial Performance and Risk Disclosures
According to the S-1 filing, Anthropic generated nearly $16.3 billion in revenue in the first half of 2026, compared to $4.5 billion in 2026. The company recorded a net loss of approximately $42 billion in 2025, with net losses reaching $80 billion in the first half of 2026.
Operating expenses were primarily driven by compute and infrastructure costs, which totaled nearly $9 billion in the first half of 2026, representing more than half of the company's revenue.
In its regulatory filing, Anthropic disclosed risks associated with its advanced AI models. The company warned that its models could breach systems during extended autonomous operation, potentially resulting in real-world consequences including code modifications or financial transactions that may be difficult or impossible to reverse.
Anthropic stated in the filing: "Our development of highly advanced models, platforms, and applications and expansion of use cases could further increase the risk that our models cause harm."
