Binance has purchased $100 million of Circle stock and signed a new five-year commercial agreement designed to expand USDC adoption across its platform, deepening the financial ties between one of crypto's largest exchanges and a major stablecoin issuer.

Circle disclosed in a September 22 regulatory filing that Binance purchased 1.237 million shares of Circle Class A common stock at $80.84 per share through a private placement. The purchase closed on September 17, the same day Circle subsidiaries and Binance entered the commercial agreement.

The new arrangement replaces earlier agreements signed in November 2024 and August 2025.

Incentive Structure Ties Exchange to Stablecoin Growth

The commercial structure creates direct financial incentives for both parties. Circle agreed to pay Binance a monthly fee calculated as a percentage of USDC held through Circle's Modular Smart Contract Wallet infrastructure service. In return, Binance will conduct additional promotional activities for USDC across its platform.

The companies can terminate the agreement early under specified circumstances, but otherwise the arrangement runs for five years.

Strategic Equity Stake

Binance acquired the shares at a discount to Circle's market price at the time of closing. The shares are generally subject to a two-year transfer restriction, during which Binance cannot sell, pledge, or hedge the position, although customary exceptions apply.

Binance retains full shareholder rights, including voting rights, making the investment appear tied to the broader commercial relationship rather than a short-term trade.

Aligned Financial Interests

The transaction aligns two significant incentives around USDC. Circle gains a major distribution partner with a financial reason to increase USDC balances, while Binance gains direct exposure to Circle's equity combined with monthly payments tied to USDC held through the agreed infrastructure.

The development illustrates how stablecoin competition is increasingly shaped by distribution deals, platform integration, and ownership stakes.
