USBC has registered approximately 359.8 million shares held by selling stockholders for potential resale, representing about 92.7% of the company's 388.1 million common shares outstanding as of August 24. The registration provides a route to market for this large ownership block, though the company will receive no proceeds from any sales. Ownership and voting power remain unchanged until actual transactions occur.
Most of the registered shares belong to Goldeneye 1995 LLC, which received approximately 357.8 million shares in August 2025 in exchange for 1,000 Bitcoin and $15 million in cash. Goldeneye held about 92.2% of USBC's voting power as of the filing date, allowing it to act unilaterally on corporate matters.
Loan Collateral and Exposure
USBC has $18 million outstanding under a credit facility with Payward Interactive, secured by approximately 478 Bitcoin as of August 24. The loan carries an 8.5% annual interest rate and matures July 28, 2027. The company modeled that the pledged Bitcoin could decline approximately 37.9% in value before triggering a collateral call at the 130% coverage ratio, assuming no additional repayment or collateral posting.
Under the loan agreement, USBC has 24 hours to add collateral or repay sufficient principal once the call ratio is reached. At the liquidation ratio, Payward may liquidate collateral without notice and charge a 1% liquidation fee.
Treasury Commitments and Overlapping Pledges
USBC reported approximately 1,029.25 Bitcoin in total holdings as of August 24. The company separately disclosed that approximately 34.1% of its Bitcoin treasury is pledged for options trading, with the options counterparty controlling the relevant private keys. The filing does not clarify whether the 478 Bitcoin pledged to Payward overlaps with the amount committed to options trading, leaving the total uncommitted Bitcoin unclear.
Operating Cash Constraints
USBC reported $2.982 million in cash and equivalents at June 30, plus $660,000 in restricted cash. During the first half of the year, the company used $15.225 million in operating activities and received $15 million from loan draws, making the financing facility essential to operational liquidity. The first-half net loss was $46.343 million, which included a $29.710 million unrealized loss from digital-asset fair value changes.
