Circle announced in September that it will acquire Tazapay, a cross-border payments operator, for $400 million in Circle Class A stock. The acquisition targets what Circle describes as the final-mile problem: while stablecoins can settle transactions on a blockchain in seconds, recipients still need access to local currency through functioning banking systems.

Tazapay operates connections to more than 60 banking and fintech partners across more than 100 markets. According to Circle, the company processed more than $25 billion in annualized payment volume as of July 31, 2026, with approximately 60% of transaction volume involving stablecoins.

What Circle Gains

Circle currently provides USDC, a dollar-denominated stablecoin, and operates the Circle Payments Network, which coordinates routing and settlement among financial institutions. Tazapay would add the regulated infrastructure at the edges of that system, where fiat currency enters and exits.

The acquisition would give Circle direct ownership of Tazapay's operating company, technology, customer relationships and payout routes. However, Tazapay's banking and fintech partners would remain independent institutions. Circle's governance structure for the Circle Payments Network currently separates network coordination, handled by Circle, from regulated activities performed by participating institutions.

Open Questions

Circle expects the acquisition to close in 2027, subject to regulatory approvals including clearance from Singapore's Monetary Authority. The final share count will be adjusted for Tazapay's debt, transaction expenses and cash, and will depend on Circle's stock price in the 20 trading days before completion.

Circle has not disclosed Tazapay's revenue, expected financial contribution, integration costs or whether Tazapay's payout routes will remain available on the same terms to companies that compete with Circle or USDC. The company also has not specified whether Tazapay will operate as a self-managed payout service or as a more integrated managed service under Circle's structure.

Tazapay operates through multiple licensed entities in different jurisdictions, including Tazapay Canada and a Singapore entity focused on separate payment activities. This distributed regulatory structure reflects the market-by-market nature of payment infrastructure rather than a single global authorization.
