Evernorth Holdings announced on August 27, 2026, that the Securities and Exchange Commission has declared effective its registration statement, clearing a regulatory hurdle for the company's planned Nasdaq listing. The company aims to provide institutional investors with regulated access to XRP exposure without direct token ownership.

The SEC's declaration of effectiveness represents a disclosure and registration clearance but does not constitute an endorsement of Evernorth, XRP, or the digital asset treasury company model. Evernorth intends to invest in XRP infrastructure and employ treasury strategies designed to increase XRP holdings on a per-share basis.

The SPAC Route and Timeline

Evernorth is pursuing its public listing through a merger with Armada Acquisition Corp. II, a special purpose acquisition company incorporated in the Cayman Islands. The parties signed their business combination agreement on October 19, 2025, with Ripple Labs named as a party to the transaction.

The combined company is expected to trade on Nasdaq under the ticker XRPN if shareholders approve the deal. Evernorth's investors include Ripple, Arrington Capital, SBI Group, Pantera Capital, Kraken, and GSR.

Armada shareholders are scheduled to vote on the merger on September 30, 2026. Evernorth expects the transaction to close in late Q3 or early Q4 2026, subject to shareholder approval and other closing conditions. Armada's Class A shares already trade on Nasdaq under XRPN; the pending step is completion of the merger and transition to the combined company.

Digital Asset Treasury Companies Face Market Pressures

Evernorth's advance comes as enthusiasm for treasury companies has diminished. Galaxy analysts noted in April 2026 that "the raise-and-hold era is over," citing market-to-net-asset-value ratios that had compressed to 1 and companies liquidating crypto holdings to fund buybacks.

Evernorth itself has experienced this pressure. According to reports in November 2025, the company held approximately $78 million in unrealized losses on its XRP position shortly after building it.

The broader question facing Evernorth's listing is whether investors still find value in single-token treasury companies after premium compression, share buybacks, and forced asset sales have weakened the original investment thesis for the sector.
