Evernorth Holdings Inc. (Nasdaq: XRPN) completed its transition to a publicly traded company on October 9 through a business combination with Armada Acquisition Corp. II, a special purpose acquisition company. Founder and CEO Asheesh Birla led the October 14 closing-bell ceremony at Nasdaq MarketSite in Times Square, celebrating the digital asset treasury company's public debut.
At closing, Evernorth held approximately 473 million XRP and had raised about $300 million in gross cash proceeds before transaction expenses. The company's shareholder vote approving the merger occurred on September 30. Evernorth's business combination brought together cash financing and XRP contributions from institutional and digital asset investors, including Arrington Capital, SBI Group, Ripple, Pantera Capital, Kraken, and GSR.
The publicly traded structure provides stock investors with exposure to an actively managed XRP treasury. Shareholders acquire XRPN shares with exposure shaped by the company's holdings, investment decisions, financing, and operating performance.
Active Treasury Management Strategy
Management's investment strategy aims to increase XRP holdings per share through institutional investment strategies, decentralized finance participation, ecosystem engagement, and capital markets activities. Chief Investment Officer Hugo Jeandesboz, a former Coinbase Asset Management co-chief investment officer, oversees allocation, liquidity management, active treasury management, and relationships with trading counterparties and custodians.
Deployment Partners Named
Evernorth announced Ripple, Kraken, Coinbase, and Bitgo as institutional execution partners on October 14. The company plans to accumulate XRP and deploy treasury assets into institutional strategies beginning in the fourth quarter under the oversight of Evernorth's investment and risk team.
The company selected these initial partners based on institutional infrastructure, licensing, capitalization, and experience serving public companies and asset managers. Partnership agreements remain subject to customary closing conditions and required regulatory and corporate approvals.
Evernorth intends to expand into decentralized finance activities conducted through blockchain-based systems, including lending and trading applications. The company plans to allocate capital directly to XRP Ledger markets as native lending and credit capabilities are activated by validators and demonstrated in production, dependent on the network's financial infrastructure development.
