Evernorth's public-warrant registration became effective on October 19, creating a potential $132 million funding avenue for the XRP treasury company. The outcome for shareholders hinges on a single variable: how much additional XRP the company purchases with any cash raised.
The prospectus covers up to 11,499,992 Class A shares issuable through public warrants with an exercise price of $11.50. Full cash exercise would generate approximately $132.2 million before costs. However, management has broad discretion over how to deploy the proceeds and the filing specifies no mandatory XRP allocation.
The Per-Share Math
Evernorth's primary performance measure is XRP per public shareholder claim, calculated as XRP attributable to the public parent divided by outstanding Class A and Class C shares plus outside economic interests. The company holds a disclosed 473 million XRP treasury.
At the October 22 XRP price of $1.32, the break-even allocation—the point at which new warrant exercises would preserve the existing XRP-per-share ratio—requires approximately 70% of gross exercise cash to be deployed into XRP purchases. That threshold translates to roughly 70 million additional tokens needed to maintain the current ratio at $1.32 per token.
Spending Choices Drive Outcomes
A conditional model demonstrates the allocation sensitivity. Allocating 50% of gross proceeds to XRP purchases would increase the absolute token treasury but reduce XRP per economic claim. Spending 70% preserves the modeled ratio. Deploying 100% of proceeds would improve the ratio.
Cash retained for expenses or other uses may carry business value but does not increase the token measure. The company has already announced partnerships with Ripple, Kraken, Coinbase, and BitGo for fourth-quarter treasury strategies, though those agreements remain subject to conditions and approvals.
Until the company discloses matched figures—actual warrant exercises, net cash receipts, and XRP acquired—the $132 million represents capacity rather than outcome. The allocation decision will determine whether the financing improves or dilutes the per-share result.
