Evernorth completed its merger with Armada Acquisition Corp. II on October 9 and began trading on Nasdaq under ticker XRPN on October 12, bringing approximately 473 million XRP into a publicly traded treasury company. The listing raised approximately $300 million in gross cash proceeds before transaction expenses, with backing from Ripple, SBI Group, Pantera Capital, Kraken, and GSR.

The company plans to distinguish itself from traditional crypto treasury companies by actively deploying capital across the XRP Ledger ecosystem. Chief Executive Officer Asheesh Birla outlined a strategy focused on institutional and decentralized finance yield opportunities, ecosystem participation, and capital markets activities intended to increase XRP holdings per share.

Vision for blockchain financial infrastructure

In a shareholder letter, Birla argued that financial markets are moving toward blockchain-based infrastructure capable of operating continuously beyond traditional banking hours. He emphasized that tokenization could transform how securities, credit, and other financial assets are traded, settled, and used as collateral through programmable conditions governing interest payments and lending arrangements.

However, Birla identified market liquidity as essential for these applications to become commercially viable. Evernorth intends to deploy capital on the XRP Ledger to support liquidity and work with developers building financial infrastructure for institutional users, potentially expanding XRP's role beyond payments into tokenized securities, lending, and collateral management.

Accounting treatment creates reporting asymmetry

Evernorth faces an unusual constraint stemming from its relationship with Ripple. The company determined it will continue to account for its XRP holdings at historical cost, reduced by accumulated impairment losses, rather than using fair-value accounting available to many other corporate cryptocurrency holders.

The Financial Accounting Standards Board introduced fair-value accounting rules for crypto assets in 2023, requiring valuations at prevailing market prices with unrealized gains and losses reflected in earnings. However, the standard excludes certain digital assets created or issued by a reporting company or its related parties. Although Evernorth ceased being a wholly owned Ripple subsidiary after the merger, management determined the companies remained related parties, placing XRP holdings outside the newer standard.

This creates a significant asymmetry: when XRP prices decline, Evernorth may recognize impairment losses reducing asset carrying values. However, subsequent price recoveries cannot reverse those write-downs, potentially leaving substantial differences between market value and reported accounting values. Management disclosed that XRP's lowest observable Coinbase price between July 1 and October 9 closing was $0.99, which would have produced an additional $6.9 million impairment after June 30.

The accounting treatment does not prevent Evernorth from profiting economically from higher XRP prices through sales or investment income, but it could make the company's reported earnings and book value harder to compare with crypto treasury businesses eligible for fair-value accounting. Investors will need to distinguish returns from active treasury management from changes in XRP's market value when evaluating performance.
