Evernorth Holdings Inc. moved closer to a planned Nasdaq listing after the U.S. Securities and Exchange Commission declared its Form S-4 effective on August 27. The company plans to merge with Armada Acquisition Corp. II, a Nasdaq-listed SPAC, and trade under the ticker XRPN if the deal closes.

Financing and Valuation Changes

Revised financing terms announced in August modified how XRP's market value will determine private-placement share issuance at closing. The new formula replaced the original $2.36 XRP benchmark with a volume-weighted average price at closing, which could reduce the shares issued and increase each Armada II share's proportional interest in the treasury.

XRP Ledger Applications

Evernorth plans to deploy capital on the XRP Ledger, the blockchain using XRP as its native asset. The network supports asset issuance, decentralized trading, escrow, and tokenization. The company's strategy emphasizes infrastructure for regulated financial activity, including compliance controls, settlement tools, and lending capabilities.

Company executives have distinguished XRP from Ripple's RLUSD stablecoin, characterizing XRP as an asset for routing, liquidity, collateral, and settlement, while RLUSD serves dollar-denominated transactions requiring price stability.
