Gemini's stock has fallen approximately 80% since its initial public offering, with the crypto platform's market value declining to roughly $753 million from about $4 billion at its peak. The decline coincides with reduced trading volume, revenue, and platform assets.

The sharp stock performance has renewed speculation about whether Gemini could become an acquisition target. While no active bids have been reported, the platform's regulatory licenses, customer base, and custody infrastructure could appeal to buyers seeking a regulated U.S. presence in crypto trading.

Exchange revenue fell 38% in the second quarter compared to the previous year to $12.5 million, while spot trading volume dropped 66% to $3.8 billion. Assets on the platform declined to $8.4 billion from $18.2 billion.

According to a venture capital investor, Gemini's core exchange technology offers limited differentiation from competitors. However, the company holds important regulatory licenses and approvals through its subsidiaries that would be costly and time-consuming for rivals to obtain independently.

This reflects a broader trend in crypto mergers and acquisitions, where buyers increasingly prioritize regulatory infrastructure, distribution, and market access rather than trading volume alone. In April, CoinDesk reported that prospective buyers had considered acquiring Gemini's shuttered European and U.K. operations primarily for their regulatory licenses, though no deal materialized due to differing valuation views.

The Winklevoss twins, who founded Gemini, control 94.5% of the company's voting power. This concentrated control would streamline negotiations with a potential buyer but also means any sale would require their approval, making a hostile takeover virtually impossible.

Gemini declined to comment on acquisition speculation.
