Genius Group has announced plans to establish parallel artificial intelligence and bitcoin treasuries worth a combined $1.6 billion, with total company assets targeted at $2 billion by fiscal year 2031.
The NYSE-listed education company intends to fund the initiative through a new preferred stock offering, drawing on its $1.2 billion SEC-cleared shelf registration. The company is targeting an initial $12.5 million raise in Perpetual Preferred Securities, with proceeds allocated to the AI treasury, bitcoin treasury, and a cash reserve covering approximately 18 months of dividend payments.
The announcement comes months after Genius Group sold its entire bitcoin holdings in April to repay $8.5 million in debt. The company had previously adopted a "Bitcoin first" strategy in late 2024, building a position that reached 440 BTC by February 2025 before a court order restricted the company's ability to raise funds and issue shares.
Treasury Strategy and Funding Approach
CEO Roger James Hamilton stated that capital deployed into the treasuries generating returns above the preferred dividend rate would flow directly to ordinary shareholders' net asset value.
The company indicated that preferred capital would become its primary funding tool going forward, reducing reliance on its ordinary share ATM program. This approach mirrors strategies employed by larger corporate bitcoin holders, including Strategy, which has raised over $16 billion via perpetual preferred stock for its bitcoin holdings, and Nasdaq-listed Strive Asset Management, which has raised more than $150 million through similar means.
