MicroStrategy Inc. (Nasdaq: MSTR) ranked fourth among the largest U.S. equity issuers in 2026 after issuing $20.9 billion in common and preferred stock, according to a chart posted by CEO Phong Le on September 3. The company trailed SpaceX, which led with $86.3 billion, followed by Alphabet at $25.7 billion, and Intel at $23 billion.

MicroStrategy's position reflects its strategy of using repeated stock sales to fund bitcoin acquisitions and manage its corporate balance sheet. Unlike a single large offering, the company conducted multiple smaller issuances throughout the year, including an at-the-market program that raises capital in regular installments.

Capital Allocation Strategy

During the week of August 24-30, MicroStrategy raised $602.8 million in net proceeds from stock sales. The company allocated these proceeds as follows: $369.7 million into bitcoin purchases, $151.8 million into repurchases of Stretch preferred stock, $50.7 million into Stretch dividends, and $30.0 million into its dollar liquidity account. As of August 30, the company held $5.10 billion in dollar reserves and $1.61 billion in additional cash.

MicroStrategy's Digital Credit Capital Framework allows management to shift between equity issuance and share repurchases while maintaining reserves for preferred dividends and debt obligations. The company held 845,050 BTC as of August 30 after purchasing 4,603 BTC during the preceding week with common-stock sale proceeds.

Risk and Opportunity

The company's bitcoin-focused treasury model creates both opportunities and risks for shareholders. Equity issuance exposes shareholders to dilution and financing costs as the company pursues its bitcoin accumulation strategy. MicroStrategy currently offers five different security types—MSTR common stock and four preferred securities—tied to its single corporate capital structure, each with different dividend terms, seniority, conversion rights, and exposure to company finances.

The company faces an MSCI index eligibility test that could affect its inclusion in widely tracked global benchmarks, with a decision expected by October 16.
