MSTR Stock Faces Potential MSCI Index Exclusion Under New Rules

MSTR stock faces potential selling pressure after MSCI approved rules that could exclude MicroStrategy from major global equity indexes. The new framework targets companies whose financial structure resembles an investment vehicle more than an operating business.

Shares closed Thursday at $151.29, up 5.62%, before MSCI announced its decision after the American trading session. MicroStrategy appeared among potential exclusions in an earlier simulation, though MSCI has not confirmed removal. The final list of affected companies will arrive November 11, ahead of implementation after November 30.

How the New MSCI Rules Work

MSCI will first assess whether companies have substantial operating assets. Those failing that initial assessment face five financial ratio tests. A company becomes ineligible if it triggers at least four of those tests.

Existing index constituents receive additional protection. Removal requires failure across two consecutive annual filing periods before MSCI removes them from indexes.

The framework extends beyond Bitcoin treasury companies. An earlier simulation also flagged Japanese treasury firm Metaplanet and British uranium holder Yellow Cake. Ethereum treasury company SharpLink could face similar scrutiny.

Potential Market Impact

For MSTR stock, the immediate concern involves demand from funds that track MSCI indexes. These tracking funds typically adjust their portfolios when benchmark membership changes, which could prompt sales unrelated to investment merit.

MicroStrategy estimates that MSCI-linked funds hold roughly 13 million shares, representing approximately 3.1% of basic shares outstanding. The company argues that this amount falls below typical daily trading volume.

Removal from an index would leave the Nasdaq listing intact and create no requirement for MicroStrategy to liquidate Bitcoin holdings. Any effect on future financing would depend on subsequent market demand.

Recent Bitcoin Purchase and Capital Management

MicroStrategy acquired 250 Bitcoin for approximately $21.5 million during October 5 through October 11, disclosed October 12. The average purchase price reached $86,194 per coin, including expenses.

Total Bitcoin holdings increased to 848,250 BTC, acquired for about $64 billion. The average cost across all holdings stood at $75,444 per Bitcoin.

The company funded the latest purchase primarily by issuing common shares, which generated $21 million in net proceeds. Another $0.5 million came from cash reserves. MicroStrategy also repurchased approximately 1.9 million STRC preferred shares for $192.4 million.

As of October 11, MicroStrategy's designated dollar reserve held $4.88 billion, with separate cash balances totaling $640.5 million. The company reported $354.8 million available for digital credit securities repurchases and $1 billion remaining for common share buybacks.
