Ondo Finance has launched Ondo Private Markets, a platform providing investors with tokenized exposure to private companies before they transition to public exchanges. The debut offering consists of a blockchain-based note tracking an undisclosed artificial intelligence company preparing for an initial public offering.
The tokenized notes differ fundamentally from traditional equity. They provide value exposure correlated with potential company valuations during future liquidity events, such as IPOs or acquisitions, but do not grant token holders corporate ownership stakes, voting rights, or dividend distributions.
Platform Structure and Operations
Ondo Global Markets (BVI) Limited, a British Virgin Islands-based special purpose vehicle, issues the financial instruments. Token holders maintain custody of digital tokens in personal wallets, and secondary market trading operates continuously without traditional market hour restrictions.
According to Ondo, the initial notes began trading during the week of the announcement. The company plans to expand offerings to companies in robotics, cybersecurity, biotechnology, and infrastructure development.
Ondo's existing service, Ondo Stocks, operates through a different mechanism, providing blockchain versions of publicly traded equities and exchange-traded funds backed by actual securities. Ondo Stocks currently manages over one billion dollars in total value locked across more than 450 tokenized equities and investment funds.
Eligibility and Regulatory Framework
The private market notes are distributed under SEC Regulation S, which restricts availability exclusively to qualified individuals residing outside the United States. American retail investors cannot purchase, hold custody of, or redeem these digital tokens.
Acting leader Ian De Bode noted that 87 percent of American companies generating over 100 million dollars in annual revenue operate as private entities, observing that retail investors predominantly access only publicly traded corporations.
Market Context
Other financial institutions have pursued comparable strategies for private company exposure. Robinhood's venture investment vehicle allocated 75 million dollars toward OpenAI common stock, providing retail investors indirect participation through a publicly traded investment vehicle. Citi has developed a blockchain-based marketplace for private company equity transactions.
Existing platforms including Hiive and EquityZen facilitate private share transactions for accredited investors. Hiive achieved a 650 million dollar valuation in late 2025, while EquityZen operates under Morgan Stanley ownership. Both platforms encounter operational delays due to regulations granting companies rights of first refusal before external share sales.
Ondo asserts its note structure circumvents these constraints through unrestricted transferability on blockchain infrastructure. The tokenized real-world assets market currently stands near 39 billion dollars in valuation.
