London-based payments infrastructure firm OpenPayd is targeting a year-end Nasdaq listing through a merger with Titan Acquisition Corp., according to CEO Iana Dimitrova. The transaction remains subject to regulatory reviews, the registration statement becoming effective, and approval from Titan shareholders.
If completed, the combined company would trade under the ticker OP with an implied pro forma equity value reaching $1.1 billion. Dimitrova noted that the firm is also considering a private placement ahead of the merger to secure additional funding for its growth initiatives.
OpenPayd reported $73 million in revenue for the financial year ended April 30, 2026, up from $57 million a year earlier, alongside $13 million in EBITDA and a $2.8 million net loss. A company spokesperson stated that the net loss was entirely attributable to $5.8 million in one-time transaction costs related to the proposed business combination.
The company plans to use the capital from the listing to fund a U.S. market expansion, with services for American customers targeted for a launch by April 2027. OpenPayd recently brought MSB USA Inc. and its 43 state money transmitter licenses into its group to support the entry.
OpenPayd's platform connects traditional currencies and stablecoins, serving clients such as Kraken, B2C2, and OKX. Dimitrova indicated that the firm is also eyeing further acquisitions of businesses that can provide additional licenses or technology to accelerate its global scale.
