ProCap Financial sold 50 Bitcoin to repurchase more than 2% of its outstanding shares at a 40% discount to net asset value. The transaction leaves the company holding approximately 5,305 BTC, positioning it as one of the larger publicly traded Bitcoin treasury firms on the Nasdaq.

At a 40% discount to NAV, each dollar spent on share buybacks acquires $1.67 worth of Bitcoin exposure. For remaining shareholders, the reduction in share count means each share represents a larger portion of the company's Bitcoin holdings.

Recurring Strategy

ProCap has executed multiple buybacks under a board-approved repurchase program authorized in December 2025 with a $100 million budget. A prior transaction on June 1, 2026, involved selling approximately 52 BTC to repurchase 2 million shares at a steeper 50% discount to NAV. Throughout 2026, the company has conducted buybacks at discounts ranging from 25% to 35%, with recent transactions at the more aggressive end of that range.

Company Background

ProCap Financial trades under the ticker BRR on the Nasdaq and went public in 2025 through a SPAC merger. The company raised more than $750 million to establish its Bitcoin treasury, comprising $516.5 million in preferred equity and $235 million in convertible instruments, with a target of up to $1 billion in Bitcoin holdings. Founded by Anthony Pompliano, the firm also operates an AI-based financial platform called Silvia.
