Ripple Prime has closed an upsized $275 million private placement of senior unsecured notes, securing a new pool of capital to fund working capital and general corporate purposes within a regulated entity. Piper Sandler served as the lead placement agent for the offering, which closed on Aug. 18.
The issuance relies on an investment-grade assessment from KBRA, which assigned the holding company’s senior unsecured debt a BBB rating with a Stable Outlook. A central component of the credit assessment is the expectation that ultimate parent company Ripple would provide financial support to the brokerage if funds could not move freely from the regulated operating company.
The legal structure establishes distinct operational layers. The rated issuer is Ripple Prime CIV US BD HoldCo LLC, an intermediate holding company situated above Hidden Road Partners CIV US LLC, the U.S. operating company registered as a broker-dealer with the SEC and a futures commission merchant with the CFTC. Ripple Labs sits as the ultimate parent above this structure.
KBRA's rating rationale indicates that parental backing serves as a key consideration due to Ripple Prime's strategic importance and prior capital investments. Following its acquisition of Hidden Road, Ripple previously injected approximately $500 million to help the brokerage expand its balance sheet and achieve profitability in 2025.
The credit assessment ties parental strength to Ripple's broader balance sheet, which includes significant cash and XRP holdings. According to Ripple's disclosures, the company held 37,656,053,914 XRP as of June 30, 2026, with 32.6 billion held in on-ledger escrow and 5,056,053,914 XRP located outside escrow. KBRA previously noted that Ripple's earnings remain largely driven by digital-asset activity, including XRP sales, exposing the parent's support capacity to token prices and market liquidity during a downturn.
Public disclosures do not identify XRP as direct collateral for the notes, nor do they detail the terms of any enforceable parent guarantee. While the notes establish that Ripple Prime can tap traditional credit markets at an investment-grade rating, the borrowing capacity remains tied to the parent company's willingness to fund the business and its exposure to digital assets.
