Strategy's EVP and General Counsel Completely Exits MSTR Stock Holdings

Strategy's executive vice president and general counsel, Thomas Chow, has entirely exited his holdings of MSTR stock. Following the filing, the stock experienced a downward move, falling nearly 6% to close at $136.52.

According to a recent SEC filing, Chow sold 106 MSTR Class A shares at a price of $138.75 per share. These shares had been acquired days prior under the company's employee stock purchase plan (ESPP). While the net transaction value totaled approximately $14,707, the complete exit has sparked market speculation. Chow continues to hold small direct positions in preferred stocks, including Series A Perpetual Stretch Preferred Stock and Series A Perpetual Strike Preferred Stock.

Chow assumed the role of EVP, general counsel, and secretary in December 2025 following the retirement of Wei-Ming Shao. His ownership of Class A common shares and derivative transactions had previously remained low.

Broader Insider Selling and Market Pressures

Chow's departure from Class A shares aligns with a broader trend of record-rate insider sales at Strategy throughout the year. Director Jarrod Patten and other executives have executed larger sales in recent months, even as the company's unrealized Bitcoin losses shifted to profit and it resumed adding to its BTC holdings. Concurrently, Strategy recently paused weekly Bitcoin purchases again after a brief resumption, while buying back over 1.8 million STRC shares valued at more than $176 million using USD cash.

Although individual ESPP-related sales are typically viewed as routine, MSTR stock faces ongoing pressure due to stock dilution. Outstanding Class A shares increased to 400.85 million, up from 351.96 million in June. On Tuesday, the stock dropped 4.40% to close at $136.52 from an intraday high of $139.31, accompanied by a lower trading volume of 19 million compared to the 23-million average.

Despite these pressures, MSTR stock has risen over 45% over the past month amid Bitcoin's price recovery toward $82,000, though it remains down over 7% year-to-date. Wall Street analysts from firms including Canaccord Genuity, TD Cowen, and Bernstein maintain positive outlooks, with price targets set at $180. Meanwhile, STRC stock trades at $98, remaining slightly below its $100 par value following a recent market rebound.
