Strategy is proposing an unusual change to its preferred stock dividend structure, asking shareholders to approve daily dividend record dates for four U.S.-listed securities: STRC, STRF, STRK, and STRD.
The company's board approved the proposal on September 24, with Strategy filing details with the SEC the following day. Shareholder approval is required, with a vote expected at a special meeting on October 28.
No Change to Dividend Rates or Total Obligations
Under the proposal, every calendar day would become a dividend record date, with any declared dividend paid on the following business day. Importantly, Strategy says the amendments would not increase or decrease regular dividend rates on the four preferred stocks and would not increase the company's overall regular dividend obligations.
The change represents a shift in payment cadence rather than an increase in total distributions. STRC would transition first, with the initial daily record date expected November 1 if approved. STRF, STRK, and STRD would transition from January 2027.
Strategic Purpose: Pricing and Liquidity
Strategy has increasingly described its preferred-stock products as "digital credit," with the company experimenting with different securities around fixed or variable distributions. More frequent dividend record dates could make accrued income easier to price into the securities and reduce friction around buying or selling shares between payment dates.
Strategy says the goal is to support liquidity, demand, and price stability. If approved, the company's preferred shares would begin to function more like continuously accruing financial instruments rather than conventional quarterly-income securities.
