Strive's 16.7% Bitcoin Yield: What Investors Are Actually Buying

Strive has launched a preferred stock offering that promises investors a 15% annual dividend on Bitcoin exposure, paid daily. On October 15, the company priced seven million shares of its SATS preferred stock at $90 apiece, despite each share carrying a $100 stated amount. This pricing creates an implied cash yield of 16.7% for buyers at the offering price.

The offering is expected to raise $630 million before expenses, with settlement scheduled for October 20. Strive intends to use the proceeds to acquire Bitcoin, support operations, purchase income-generating assets, or repurchase shares.

What the Price Actually Means

The 16.7% yield is eye-catching, but it reflects the market's assessment of the risks involved. A share purchased at $90 does not guarantee an exit at $100 or higher. The liquidation preference of $100 per share sets a claim against the company in liquidation, not a guaranteed resale price.

Market price depends on what buyers are willing to pay for the dividend stream and its associated risks. A share bought at $90 could trade higher if investors gain confidence in Strive's finances and accept lower yields, or it could fall to $75 or below even if dividends are paid in full. Someone who buys at $90, collects $15 in annual dividends, and sells at $75 would receive $90 total before costs—breaking even only if every payment arrives on schedule.

The Preferred Stock Structure

SATS is perpetual preferred stock with no maturity date requiring the company to return the purchase price. Holders rank ahead of common shareholders for dividends and liquidation distributions, but behind Strive's existing SATA preferred stock and company debt.

This hierarchy matters. Common equity absorbs losses first, protecting preferred holders to a point. However, that protection weakens as senior claims grow or the company's asset value declines. For Bitcoin treasury companies, both can happen simultaneously: raising capital to buy more Bitcoin increases financial claims while the underlying asset remains subject to market volatility.

Funding the Dividend Promise

SATS dividends are scheduled to begin November 9 and be payable every business day. Seven million shares at the $15 annual rate imply $105 million in annual SATS dividends. Strive has committed to establishing a reserve of $157.5 million at closing, representing 18 months of scheduled dividends.

This initial buffer provides payment capacity, but it does not establish that the company can sustain dividends indefinitely. The prospectus indicates that further capital raising will be a primary source of dividend funding beyond the reserve period. Preferred dividends must come from cash reserves, new financing, asset sales, or investment income—each choice significantly affecting the company's financial position.

The Real Cost of Income

The 16.7% implied yield reflects compensation for risks including payment capacity, claim priority, perpetual duration, and resale value uncertainty. Bitcoin appreciation in Strive's holdings can increase balance sheet value, but that appreciation remains unrealized until the company converts Bitcoin into cash.

The most important comparison is between the dollars investors pay today, the dollars Strive can distribute over time, and the dollars future investors will pay to assume that claim. While Bitcoin drives underlying business appreciation, Strive itself must deliver on the dividend promise.
