Asset management firm VanEck has examined the capital structure behind Metaplanet's corporate Bitcoin treasury strategy, drawing attention to significant potential shareholder dilution tied to executive compensation.

According to VanEck's latest Bitcoin ChainCheck, Metaplanet features executive stock-option capacity equivalent to roughly 22.4% of shares. The analysis emphasizes that while the company has reduced executive base salaries by approximately 15%, this reduction is paired with substantial equity-based compensation.

The Bitcoin-Per-Share Equation

Corporate Bitcoin strategies are frequently measured by their total Bitcoin holdings. However, VanEck notes that this metric can obscure the creation of new shares. When a firm increases its Bitcoin reserves while issuing large amounts of new equity or options, existing shareholders may end up owning a smaller fraction of the underlying treasury even as the headline Bitcoin balance grows.

While the use of stock options to align executive interests with those of shareholders is common among listed companies, VanEck points out that the scale of Metaplanet's option capacity stands out, particularly because the firm's investment case centers on growing Bitcoin exposure on a per-share basis.

Treasury Holdings Remain Intact

VanEck's analysis focuses entirely on the capital structure surrounding the treasury rather than the treasury holdings themselves. The report does not suggest that Metaplanet is selling its Bitcoin.

Metaplanet continues to operate as an aggressive corporate Bitcoin accumulator outside the United States. As additional companies adopt similar treasury strategies, investors may increasingly evaluate firms not only on their absolute Bitcoin holdings, but also on the efficiency of accumulation per share and the degree of shareholder dilution accepted along the way.
