Vietnam is implementing stricter enforcement of its cryptocurrency regulations beginning September 1, introducing penalties of 30-50 million Vietnamese Dong (approximately $1,140-$1,900) for domestic investors caught trading on unlicensed platforms. The penalties are tied to Decree No. 284/2026/ND-CP and mark the first enforcement action in a five-year regulatory pilot program that began in September 2025 and runs through 2030.
Five companies have passed Vietnam's initial licensing assessment: VIX Crypto Assets Exchange JSC, Loc Phat Vietnam Crypto Assets Exchange, Vietnam Prosperity Crypto Assets Exchange, Techcom Crypto Assets Exchange, and Vietnam Digital Assets JSC. The approved firms consist of three bank-affiliated entities, one stockbroker, and one major conglomerate, with no crypto-native companies among the initial licensees.
To obtain a full operating license, each company must meet two additional requirements from Vietnam's Ministry of Finance: Level 4 information system security certification and a minimum charter capital of 10 trillion Vietnamese Dong, equivalent to approximately $383 million.
Regulatory Framework and Asset Requirements
The licensing structure is based on Government Resolution No. 05/2025/NQ-CP, signed September 9, 2025. Under the regulatory pilot, all tokenized assets traded on licensed platforms must be backed by real-world assets and issued by Vietnamese entities. Securities and fiat currencies are explicitly excluded from the tokenized asset category, and all settlements must occur in Vietnamese Dong.
Foreign investors will gain market access before domestic investors. Domestic investors will not be required to trade exclusively through licensed platforms until six months after the Ministry of Finance issues its first exchange license, a threshold the five companies have not yet reached.
Additional rules include a 49 percent cap on foreign ownership in any licensed exchange. No exchange license has been issued as of this report, though operations could begin as early as the third quarter of 2026 pending final approval.
Impact on Crypto Adoption
Vietnam currently ranks among the top seven countries globally for cryptocurrency adoption, with an estimated 17 million holders, predominantly trading through platforms without formal domestic licensing. The September 1 enforcement date presents existing users with a choice: migrate to licensed platforms once they become operational or continue operating in what is now classified as an illegal market outside the approved regulatory framework.
