Winklevoss Files for Zcash ETF on Nasdaq, Testing Privacy Coin in Regulated Markets

Winklevoss Asset Services has filed a registration statement with the Securities and Exchange Commission for the Winklevoss Zcash ETF, a proposed exchange-traded product designed to hold ZEC directly. If approved, shares are expected to trade on Nasdaq under the ticker WINK.

The proposed fund would give investors direct exposure to Zcash's price, minus operating expenses and fund liabilities. According to the preliminary prospectus, the sponsor fee is set at 0.25% annually.

Winklevoss Capital Fund has indicated a nonbinding interest in purchasing up to $100 million of shares in the fund. The company emphasized that this indication is not committed seed capital and could ultimately result in a larger, smaller, or zero purchase.

Regulatory Considerations

The filing introduces Zcash into the expanding US crypto ETF market alongside established spot products for Bitcoin and Ethereum. However, Zcash brings distinct regulatory questions because privacy is central to the network's design.

SEC registration does not constitute approval. The preliminary prospectus can be amended, and securities cannot be sold until the registration statement becomes effective.

Broader Market Implications

An approved Zcash ETF would place direct ZEC exposure within standard brokerage infrastructure increasingly used for digital assets. The filing would require regulators and market infrastructure providers to engage more directly with the operational questions surrounding a privacy-focused cryptocurrency inside a regulated investment product. The application represents a test of how traditional fund structures can accommodate different types of blockchain networks.
