WISeKey has officially completed its corporate restructuring and redomiciliation from Switzerland to the British Virgin Islands. The cross-border merger became legally effective on October 1, resulting in the absorption of Swiss-based WISeKey into its British Virgin Islands subsidiary, WISeQey Corp., which serves as the surviving company.
Despite the change in corporate domicile, the company stated that its operational headquarters and place of effective management will remain in Switzerland. The restructuring is intended to simplify the firm's public-market structure while preserving its international footprint.
Existing WISeKey securities, including current Nasdaq American Depositary Shares (ADSs) and Swiss Class B shares, continued trading through the close of business on October 2. Following the transition, WISeQey ordinary shares are expected to begin trading under the ticker symbol WQEY on both Nasdaq and the SIX Swiss Exchange at the market open on October 5.
The corporate reorganisation alters how existing securities are converted. Each WISeKey ADS is set to be exchanged for one-half of one WISeQey ordinary share. Meanwhile, each Class B share generally converts into one WISeQey ordinary share, unless the holder elected an alternative unlisted Class B structure.
While WISeKey operates across technology sectors including cybersecurity, digital identity, semiconductors, space IoT, and blockchain-connected products, the October 1 event constitutes a legal and structural corporate reorganisation rather than a token migration or digital asset issuance.
