Energy firm Olenox Industries is facing a capital deficit of approximately $22.9 million as it pursues a pivot toward off-grid Bitcoin mining. The financial hurdle threatens to derail the company's broader expansion plans.

According to preliminary financial figures, Olenox reported July production of 15.13 Bitcoin, which carried a gross value of about $1.16 million based on the Aug. 21 spot price of $76,371.25. However, the company noted that this output did not equate to net revenue, sale proceeds, or available cash, as unsettled hosting invoices for power, management fees, and profit shares remained unfinalized for part of the fleet.

Operational data for July showed an average operational hashrate of 1.02 EH/s, representing 64% of the fleet's economic capacity. The company attributed the reduced output to summer heat, low-power-mode operations, and normal equipment availability. All July operating figures remain preliminary and unaudited.

A quarterly filing released on Aug. 19 highlighted deeper financial strains. As of June 30, Olenox reported $3.40 million in current assets against $26.26 million in current liabilities, creating a working-capital deficit of roughly $22.9 million. The liabilities included $14.55 million in accounts payable and accrued expenses, alongside lease maturities, amounts due to affiliates, credit lines, derivative liabilities, convertible notes, short-term notes, and current portions of long-term debt.

Olenox stated that its ongoing losses, negative working capital, and negative operating cash flows raise substantial doubt about its ability to continue as a going concern. The company reported no committed sources of additional financing as of June 30 and warned that it may need to delay or curtail planned activities if additional capital cannot be secured.

The financial pressure coincides with fixed obligations stemming from the company's May acquisition of Bitcoin miner CS Digital Ventures for a preliminary upfront consideration of $30 million. That transaction included $14 million in Series E preferred stock and $16 million in unsecured promissory notes. The seven seller notes carry a 10% annual interest rate, mature in May 2029, and require interest-only payments starting in August 2026, implying $1.6 million in simple annual interest.

From the acquisition date of May 26 through June 30, CS Digital generated $1.45 million in revenue and a net loss of $564,104. While the acquired miners operated at third-party Texas facilities using grid power during July, Olenox maintains a longer-term strategy to convert its own natural gas into off-grid compute at a target cost below $0.02 per kilowatt-hour.

Additionally, Olenox announced a non-binding acquisition letter of intent on Aug. 19 with a stated price of approximately $20 million, primarily utilizing preferred and common stock alongside cash. Despite ongoing expansion ambitions, the company's immediate outlook depends on managing mining margins, fulfilling seller-note obligations, and securing fresh capital.
