BTCS, a Nasdaq-listed company, announced on September 28 that its Imperium DeFi unit has completed the compliance groundwork required to potentially rely on the SEC's Covered Firm exemption. The company submitted the required notice to regulators and published relevant disclosures as part of its preparations.
However, Imperium has not yet commenced providing liquidity for tokenized equities. The company explicitly stated that such trading depends on a qualifying Tokenized Securities Venue becoming operational first.
Understanding the SEC Exemption
The SEC created conditional temporary relief from the dealer definition for qualifying firms that provide liquidity through automated market maker pools on eligible tokenized-securities venues. This exemption does not constitute SEC approval of BTCS's strategy, nor has the company received a broker-dealer license for Imperium.
Instead, the exemption defines circumstances under which qualifying firms can participate in tokenized-securities liquidity provision without being classified as registered securities dealers, subject to specific conditions.
Current Operations and Future Plans
Imperium currently deploys crypto assets into DeFi protocols for lending and liquidity markets. Expansion into tokenized equities would extend this business into regulated securities on blockchain infrastructure.
BTCS's announcement reflects positioning rather than immediate revenue generation. The company has completed the paperwork and disclosures necessary under the framework but cannot activate this business line until the required venue infrastructure becomes available.
