CleanCore has moved forward with a $100 million stock offering and the sale of its Dogecoin treasury holdings to fund a strategic pivot into Minnesota AI infrastructure, leaving significant share dilution and unresolved funding commitments in its wake.
According to an SEC filing from Aug. 20, CleanCore issued 275,829,576 offering shares, which increased its common shares outstanding by 121.9% from 226,260,684 to 502,090,260. The offering closed on Aug. 12 with approximately $100 million in gross proceeds, alongside an estimated $92 million in net proceeds after accounting for an $8 million placement and advisory fee.
In addition to the shares already delivered, the company issued pre-funded warrants covering 124,170,424 shares at $0.0001 per share without an expiration date, and investor warrants covering up to 400 million shares at $0.25 per share with a five-year expiration. If fully exercised, these warrants could bring in an additional $100 million in gross proceeds and push the offering-only total to over 1.02 billion shares, though the scenario remains conditional and subject to ownership limits.
The pivot also involved liquidating digital assets. The prospectus notes that CleanCore sold substantially all of its 463 million Dogecoin (DOGE) holdings on July 20 for approximately $33.4 million, allocating the proceeds toward its AI infrastructure segment.
Despite the capital raised from the stock offering and Dogecoin sales, financial questions remain. The estimated $92 million in net proceeds and asset sales sit against up to $500 million in commitments for the Minnesota joint venture, which features an initial budget of $479 million. CleanCore reported having about $140 million of project equity funded or committed, but disclosures did not fully reconcile the figures, separate funded cash from commitments, or confirm that the joint venture's contribution schedule had been satisfied.
