Hyperliquid Strategies, a Nasdaq-listed company building a treasury of Hyperliquid's HYPE token through equity sales, has expanded its committed-equity facility with Chardan Capital Markets to $2.5 billion from $1 billion.

However, the effective spending capacity before regulatory constraints apply is significantly smaller. According to the company's disclosures, at least $763.7 million in proceeds have been raised through June 30 and in the subsequent period, leaving no more than approximately $236.3 million before aggregate sales reach $1 billion.

Regulatory Constraints on Share Issuance

Once aggregate facility sales surpass $1 billion, share pricing becomes a critical factor. Under the amended agreement, Hyperliquid Strategies cannot complete a sale if it would cause the total number of facility shares issued at prices below $12.02 to exceed 42,641,847 shares—equivalent to 19.99% of the company's pre-amendment voting power. Issuances beyond this threshold require stockholder approval unless Nasdaq rules permit otherwise.

The restriction does not create a straightforward dollar limit. Shares sold at $12.02 or higher fall outside the price-specific cap, while remaining capacity for lower-priced sales depends on the transaction-level price mix, which company filings have not fully detailed.

Treasury Building Through Equity Sales

The equity facility finances the company's crypto acquisition strategy. An August 27 update disclosed that Hyperliquid Strategies had deployed $773.4 million to acquire approximately 16.5 million HYPE tokens, with a total HYPE holding of roughly 29.3 million tokens. The company had previously raised $646.6 million at an average issue price of $8.70, with an additional $117.1 million raised after quarter-end.

The $2.5 billion commitment represents optional financing capacity rather than a guaranteed spending program. Full access to the expanded facility depends on sale prices, remaining regulatory headroom, and potential stockholder authorization requirements for additional discounted share issuance.
