Financial technology firm MoonPay has agreed to acquire North Capital Investment Technology, a platform providing regulated brokerage services for private markets. The all-stock transaction is valued at more than $60 million, according to reports.
The acquisition will integrate North Capital's securities brokerage, investment advisory, clearing, and alternative trading system capabilities into MoonPay's infrastructure. Upon completion, North Capital will operate as a wholly owned subsidiary of MoonPay.
North Capital operates multiple entities registered with the U.S. Securities and Exchange Commission, including broker-dealers, an alternative trading system called PPEX ATS, a transfer agent, and an investment advisor. The platform has facilitated more than $8.7 billion in primary and secondary transaction volume to date, while PPEX supports more than 1,250 approved assets for secondary trading.
The deal reflects a broader trend of digital asset companies acquiring established, regulated market infrastructure as traditional finance increasingly explores tokenization of real-world assets.
Ivan Soto-Wright, CEO and founder of MoonPay, stated that the company is building infrastructure to support mass adoption of tokenized real-world assets, citing fragmentation across existing financial market technology providers.
James P. Dowd, founder and CEO of North Capital, said the combination would expand access and liquidity in private markets, combining MoonPay's global reach with North Capital's specialized capabilities.
Both boards of directors unanimously approved the transaction. Final completion remains subject to customary closing conditions and regulatory approvals, with the transaction expected to close in 2026.
